These Terms of Use (“Terms”) govern your access to and use of https://cognisphere.co.uk and any general account, dashboard, demonstration, early-access or online functionality made available by Cognisphere Global Ltd through the website (together, the “Online Services”).

1. About Cognisphere

The Online Services are operated by Cognisphere Global Ltd, a private company limited by shares registered in England and Wales under company number 17369721, with registered office at 6th Floor, 37 Lombard Street, London, EC3V 9BQ, United Kingdom (“Cognisphere”, “we”, “us” or “our”).

Cognisphere is the trading style of Cognisphere Global Ltd.

2. Acceptance of these Terms

By accessing or using the Online Services, you agree to these Terms. If you do not agree, you must not use the Online Services.

If you use the Online Services on behalf of a company, organisation or other legal entity, you confirm that you have authority to act on its behalf. References to “you” include that organisation where appropriate.

3. Business use and consumer rights

Cognisphere’s website and business services are primarily intended for business and professional users. If you are acting as a consumer, nothing in these Terms excludes or limits rights that cannot lawfully be excluded under applicable consumer law.

Where Cognisphere offers paid products or subscriptions directly online, additional product, order, subscription or consumer information may apply. Those terms will be made available before you are bound by a paid contract.

4. Informational website content

Public website content is provided for general business information. We take reasonable care to keep material accurate and current, but we do not guarantee that all content is complete, error-free or suitable for a particular purpose.

Nothing on the website constitutes legal, financial, investment, medical, regulatory or other professional advice. You should obtain specialist advice where appropriate.

5. Accounts and authorised users

Where account functionality is available, you must provide accurate information and keep it reasonably up to date. You are responsible for activity performed through your credentials unless it results from a security failure for which Cognisphere is legally responsible.

• Keep passwords, access links, API keys and authentication factors confidential.
• Do not share individual credentials unless the relevant product expressly permits shared or service accounts.
• Use multi-factor authentication where offered or required.
• Notify us promptly at info@cognisphere.co.uk if you suspect unauthorised access or compromise.
• Organisation administrators are responsible for granting and removing access for their authorised users and for ensuring those users comply with applicable terms.

We may require reasonable identity, organisation, security or authority verification before creating, restoring or changing an account.

6. Acceptable use

You must use the Online Services lawfully, responsibly and only for authorised purposes. You must not:

• attempt to gain unauthorised access to accounts, systems, networks, data or security controls;
• introduce malware, malicious code, denial-of-service activity or other harmful material;
• probe, scan or test vulnerabilities without our prior written authorisation, except under an expressly published vulnerability-disclosure programme;
• use the Online Services to infringe intellectual-property, privacy, confidentiality or other rights;
• upload unlawful, defamatory, discriminatory, fraudulent or malicious content;
• use automation, scraping or extraction in a manner that overloads the service, circumvents access controls or breaches applicable law or contractual restrictions;
• use messaging, outreach or marketing functionality to send unlawful spam, deceptive communications or content that breaches PECR, applicable e-privacy rules or direct-marketing law;
• reverse engineer, decompile, disassemble or attempt to derive source code except to the limited extent such restriction is prohibited by law;
• misrepresent your identity, affiliation, authority or the origin of communications;
• use the service for sanctions evasion, fraud, unlawful surveillance, harmful cyber activity or other prohibited conduct.

7. Customer and user content

You retain ownership of content you lawfully submit to the Online Services. You grant Cognisphere and its authorised processors a limited, non-exclusive right to host, copy, transmit, display, transform and otherwise process that content only as reasonably necessary to provide, secure, support and improve the relevant service, subject to applicable contract and data-protection terms.

You must have the rights and lawful authority required to submit content and to instruct Cognisphere to process it. You remain responsible for the legality, accuracy and appropriateness of content you provide.

8. Confidential and personal data

Where the Online Services are used in connection with a paid business relationship, confidentiality and data-processing obligations may also be governed by a signed service agreement, non-disclosure agreement or Data Processing Agreement. If those documents conflict with these general Terms in relation to the paid service, the signed or product-specific terms will prevail to the extent of the conflict.

9. AI-enabled and automated features

Where Cognisphere makes AI, agentic, generative or other automated features available, those features may produce probabilistic, incomplete or incorrect results. Unless a product-specific agreement expressly states otherwise, outputs are provided as decision-support information and should be reviewed by an appropriately qualified human before being used for material business, legal, financial, safety, employment, healthcare or other consequential decisions.

You are responsible for deciding whether input data is appropriate to submit to an AI-enabled feature and for complying with confidentiality, privacy, intellectual-property and sector-specific obligations. Additional AI or product terms may apply to particular features.

10. Third-party services and integrations

The Online Services may integrate with or link to third-party products, platforms, APIs or websites. Third-party services are governed by their own terms and privacy notices. Cognisphere is not responsible for third-party services that we do not control, although we remain responsible for obligations that applicable law places directly on us.

Changes, outages or restrictions imposed by a third-party provider may affect integrated functionality.

11. Intellectual property

Cognisphere and its licensors own all rights in the Online Services, including website content, software, design systems, trademarks, branding, documentation and underlying technology, except for customer or third-party materials expressly identified as such.

You may view and use public website content for ordinary internal business evaluation. You must not reproduce, republish, sell, license, create derivative commercial materials from, or systematically extract substantial parts of Cognisphere content without prior written permission, except where applicable law expressly permits it.

12. Availability, changes and beta functionality

We may update, improve, replace or discontinue website features from time to time. Demonstration, preview, beta or early-access functionality may be incomplete, may change without notice and may contain errors. It should not be relied upon for production-critical purposes unless a separate agreement expressly permits that use.

We do not guarantee uninterrupted availability of free website or preview functionality. Any contractual uptime, support or service-level commitment for a paid product will be stated in the relevant service agreement or order form.

13. Suspension and termination

We may suspend or restrict access where reasonably necessary to protect security, investigate suspected misuse, comply with law, prevent harm, address non-payment under a separate paid agreement, or enforce applicable terms. Where reasonably practicable, we will provide notice and an opportunity to remedy an issue unless urgent action is required.

You may stop using the public website at any time. Account closure and data export or deletion arrangements may be governed by product-specific or customer-contract terms.

14. Disclaimers and liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

For business users, and to the fullest extent permitted by law, Cognisphere is not liable for indirect or consequential loss, loss of profit, revenue, business opportunity, goodwill or anticipated savings arising solely from use of the free public website or free preview functionality. Paid products and client services are subject to the liability provisions in the relevant service agreement or order form.

We are not responsible for loss caused by circumstances outside our reasonable control, but this does not affect obligations that cannot lawfully be excluded.

15. Security research and vulnerability reporting

If you believe you have identified a security vulnerability, do not exploit it or access data beyond what is necessary to demonstrate the issue. Report it promptly to info@cognisphere.co.uk. Unless we publish a separate vulnerability-disclosure policy, security testing requires prior written permission.

16. Sanctions, export and lawful use

You must not use the Online Services in violation of applicable trade sanctions, export controls or other laws. We may carry out proportionate screening or restrict access where required to comply with legal obligations or manage material security and compliance risk.

17. Changes to these Terms

We may update these Terms to reflect changes in law, security requirements, products or business operations. The current version and update date will be published on the website. If a change materially affects an existing account or paid service, we will provide notice where required by law or contract.

18. Governing law and jurisdiction

These Terms and any non-contractual obligations arising from them are governed by the law of England and Wales. For business users, the courts of England and Wales have exclusive jurisdiction, unless a separate written agreement states otherwise.

If you are a consumer, this clause does not deprive you of any mandatory rights or protections available under the law of the country in which you habitually reside, where those rights cannot lawfully be excluded.
